PRESCENE TERMS OF SERVICE

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and AI Labs, Inc., a Delaware corporation doing business as Prescene ("Prescene," "Company," "we," "us," or "our"). By accessing or using the Prescene platform, website, applications, or any related services (collectively, the "Service"), you agree to be bound by these Terms.

PLEASE READ THESE TERMS CAREFULLY. BY USING THE SERVICE, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE, DO NOT USE THE SERVICE.

1. DESCRIPTION OF SERVICE

Prescene provides a cloud-based platform for content analysis, including script analysis, document parsing, and AI-powered insights. The Service allows users to upload content, which is then processed, parsed, extracted, and analyzed using various methods including artificial intelligence and machine learning technologies provided by third-party sub-processors.

2. ACCOUNT REGISTRATION AND SECURITY

2.1 Account Creation

To access certain features of the Service, you must create an account. You may register using:

• Email and password
• Google Sign-In (OAuth)
• Enterprise Single Sign-On (SSO) — available for enterprise customers with qualifying agreements

2.2 Account Responsibilities

You are responsible for: (a) providing accurate and complete registration information; (b) maintaining the confidentiality of your account credentials; (c) all activities that occur under your account; and (d) notifying us immediately of any unauthorized use of your account. Enterprise SSO customers are responsible for managing user access through their identity provider.

3. SERVICE TIERS AND INFRASTRUCTURE

3.1 Standard Service (Shared Tenant)

Our standard self-service offering operates in a shared multi-tenant environment. While your data is logically separated from other customers' data, it is processed on shared infrastructure. All shared environments implement encryption at rest and in transit, access controls, and security monitoring.

3.2 Private Tenant (Enterprise)

Enterprise customers may purchase dedicated, isolated infrastructure ("Private Tenant") with enhanced data segregation and additional security controls. Private Tenant deployments are subject to separate enterprise agreements. Contact hello@prescene.ai for details.

4. CREDITS, FEES, AND PAYMENT

4.1 Credit-Based System

Access to the Service is provided on a credit-based system. The number of credits required for specific operations, and the features included at each pricing tier, are described on our pricing page at prescene.ai/pricing and may be updated from time to time. Credit requirements may vary based on content length, complexity, and the type of analysis requested.

4.2 Changes to Credit System

We reserve the right to modify the credit system, including the number of credits required for specific operations, upon reasonable notice. We will provide at least thirty (30) days' notice of material changes to credit calculations that would significantly impact your usage. Continued use of the Service after such notice constitutes acceptance of the modified terms.

4.3 Refunds

Unless otherwise required by applicable law, all purchases are final and non-refundable. Unused credits expire in accordance with the terms of your subscription plan.

5. USER CONTENT AND INTELLECTUAL PROPERTY

5.1 Your Content

"User Content" means any content, materials, data, or information you upload, submit, or transmit to the Service. You retain all rights, title, and interest in and to your User Content, subject to the license granted below.

5.2 License to User Content

By uploading User Content, you grant Prescene a non-exclusive, worldwide, royalty-free license to use, copy, process, parse, analyze, and create derivative works of your User Content solely for the purpose of providing and improving the Service. This license terminates when you delete your User Content or your account, except as required for backup, legal compliance, or legitimate business purposes.

5.3 Content Representations and Warranties

By uploading User Content, you represent and warrant that:

• You own the User Content or have obtained all necessary rights, licenses, consents, and permissions to upload and authorize us to process it as described herein;
• The User Content does not infringe, misappropriate, or violate any third party's intellectual property rights, privacy rights, publicity rights, or other proprietary rights;
• The User Content does not violate any applicable law or regulation;
• You have the authority to grant us the license described in Section 5.2.

5.4 Output Ownership and License

"Outputs" means the analysis results, reports, insights, summaries, and other materials generated by the Service based on your User Content. We grant you a non-exclusive, worldwide license to use the Outputs generated from your User Content for your internal business purposes.

We retain all rights in our proprietary methodologies, algorithms, processing techniques, and the compilation and organization of Outputs. We do not claim ownership of raw outputs generated by third-party AI models; however, the structured analysis, reports, and compilations we create using such outputs constitute our proprietary work product, licensed to you as described above.

5.5 Prescene Intellectual Property

The Service, including its software, features, functionality, design, text, graphics, logos, and all other materials (excluding User Content) are owned by Prescene or its licensors and are protected by intellectual property laws. Nothing in these Terms grants you any right, title, or interest in the Service except for the limited license to use the Service as expressly provided herein.

6. AI AND MACHINE LEARNING PROCESSING

6.1 Use of AI Technologies

We use artificial intelligence and machine learning technologies, including services from third-party providers (listed at prescene.ai/legal/subprocessors), to analyze content you upload. This processing includes:

• Parsing and extracting structured data from uploaded documents
• Analyzing content using large language models (LLMs) for script analysis, character analysis, narrative structure evaluation, and related insights
• Generating reports, summaries, and recommendations based on such analysis

6.2 Data Use for AI

Your User Content is processed for the sole purpose of providing the Service to you. We do not use your User Content to train our AI models or improve models shared with other customers. Our third-party AI providers process your content under data processing agreements that prohibit use of your content for model training. For enterprise customers with Private Tenant deployments, content is processed in an isolated environment as described in your service agreement.

6.3 No Guarantee of Accuracy

AI-generated analysis and Outputs are provided for informational purposes only. We do not guarantee the accuracy, completeness, reliability, or suitability of any AI-generated content. You should independently verify any information before relying on it for business, creative, or other decisions. THE SERVICE IS NOT A SUBSTITUTE FOR PROFESSIONAL JUDGMENT.

6.4 AI Disclosure

We disclose that certain Outputs provided by our Service are generated or assisted by artificial intelligence systems. Analysis reports and insights are generated using AI-based processing. Our AI systems are designed to assist human decision-making, not replace it.

7. ACCEPTABLE USE POLICY

You agree not to use the Service to:

• Upload content you do not have rights to analyze or that infringes any third party's intellectual property or other rights
• Process content that is illegal, defamatory, obscene, harmful, threatening, or otherwise objectionable
• Attempt to extract, reverse-engineer, probe, or derive our AI systems, prompts, algorithms, or proprietary methodologies
• Use Outputs to train competing AI models or develop competing services
• Circumvent, disable, or interfere with usage limits, credit systems, or security features
• Share account access, resell access to the Service, or use the Service on behalf of third parties without authorization
• Transmit viruses, malware, or other harmful code
• Interfere with or disrupt the Service or servers or networks connected to the Service
• Violate any applicable law, regulation, or third-party rights

8. DATA RETENTION AND DELETION

8.1 Retention Periods

• User Content: Retained for the duration of your active subscription or until you delete it, whichever occurs first
• Analysis Outputs: Retained for the duration of your active subscription or until account deletion
• Account Data: Retained for the duration of your account plus three (3) years for legal compliance and legitimate business purposes
• Logs and Analytics: Retained for twelve (12) months in anonymized or aggregated form

8.2 Deletion

Upon account termination or receipt of a valid deletion request, we will delete your personal data within a reasonable timeframe, except as required for legal compliance, backup and disaster recovery processes, enforcement of our rights, or legitimate business purposes (such as fraud prevention).

9. TERMINATION

9.1 Termination by You

You may terminate your account at any time by following the account closure process in your account settings or by contacting hello@prescene.ai.

9.2 Termination by Prescene

We may terminate or suspend your account: (a) immediately for violation of these Terms or the Acceptable Use Policy; (b) immediately for non-payment; (c) upon thirty (30) days' notice for any other reason or no reason.

9.3 Effect of Termination

Upon termination: (a) your right to access the Service immediately ceases; (b) you may request export of your User Content and Outputs for thirty (30) days following termination; (c) after thirty (30) days, your data may be deleted or de-identified in accordance with our retention practices, except as required for legal compliance, backups, dispute resolution, or legitimate business purposes; (d) unused credits are non-refundable unless otherwise required by applicable law.

10. COPYRIGHT INFRINGEMENT (DMCA)

If you believe content on our Service infringes your copyright, please send a notice to our designated agent at hello@prescene.ai containing: (1) identification of the copyrighted work; (2) identification of the allegedly infringing material and its location; (3) your contact information; (4) a statement of good faith belief that the use is not authorized; (5) a statement of accuracy under penalty of perjury; and (6) your physical or electronic signature.

We will respond to valid DMCA notices and may terminate accounts of repeat infringers.

11. DISCLAIMERS

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

WE MAKE NO REPRESENTATIONS OR WARRANTIES REGARDING THE ACCURACY, RELIABILITY, OR COMPLETENESS OF ANY AI-GENERATED OUTPUTS. YOU ACKNOWLEDGE THAT AI SYSTEMS MAY PRODUCE INACCURATE, INCOMPLETE, OR BIASED RESULTS AND THAT YOU ARE SOLELY RESPONSIBLE FOR EVALUATING AND VERIFYING ANY OUTPUTS BEFORE RELYING ON THEM.

12. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL PRESCENE, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE.

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM OR (B) ONE HUNDRED DOLLARS ($100).

13. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless Prescene and its affiliates, officers, directors, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service; (b) your User Content; (c) your breach of these Terms; (d) your violation of any third-party rights, including intellectual property rights; or (e) your violation of any applicable law.

14. GOVERNING LAW AND DISPUTE RESOLUTION

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles. Any dispute arising out of or relating to these Terms or the Service shall be resolved exclusively in the state or federal courts located in Delaware, and you consent to the personal jurisdiction of such courts.

15. CHANGES TO TERMS

We may modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website and updating the "Last Updated" date. Your continued use of the Service after such changes constitutes acceptance of the modified Terms. If you do not agree to the modified Terms, you must stop using the Service.

16. GENERAL PROVISIONS

Entire Agreement: These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and Prescene regarding the Service.

Severability: If any provision of these Terms is held invalid or unenforceable, that provision shall be modified to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

Waiver: Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

Assignment: You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.

Notices: We may provide notices to you via email to the address associated with your account or by posting on the Service. You may provide notices to us at hello@prescene.ai.
